These Terms and Conditions ("Terms") govern your use of the Tazamaji warehouse and inventory management platform, operated by Tazamaji Inc., a company incorporated in the Republic of Kenya.

2. Acceptance of Terms

You accept these Terms by:

• Creating an account or registering for the Service
• Accessing or using the Service

• Continuing to use the Service after we post changes to these Terms

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information.

3.2 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your employees and team members comply with these Terms

4. Fees and Payments

4.1 Subscription Fees

All fees are quoted in Kenyan Shillings (KES) and are as described on our pricing page. Fees may be updated from time to time with 30 days' notice.

4.2 Payment Terms

• Fees are billed in advance on a monthly or annual basis
• Payments are due within 7 days of invoice date
• Payments are non-refundable except as required by law
• Late payments may incur interest at the rate of 2% per month

4.3 Taxes

All fees are exclusive of Value Added Tax (VAT) and other applicable taxes. You are responsible for paying all taxes, including VAT, as required by Kenyan law.

5. Intellectual Property Rights

5.1 Our Rights

The Service, including its code, design, features, and content, is owned by Tazamaji and protected by Kenyan and international intellectual property laws.

5.2 Your Data

You retain all rights to your inventory data, business information, and content you upload ("Your Data"). By using our Service, you grant us a license to host, process, and store Your Data solely to provide the Service to you.

5.3 Reverse Engineering

You shall not reverse engineer, decompile, or disassemble our systems, source code, or algorithms.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You will not:

• Use the Service in violation of any Kenyan laws or regulations
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Upload malicious code or content
• Impersonate any person or entity
• Store or process sensitive personal data without proper safeguards

7. Termination

7.1 By You

You may terminate your account at any time by contacting us. Fees paid are non-refundable.

7.2 By Us

We may suspend or terminate your access for:

• Violation of these Terms
• Non-payment of fees
• Unauthorized or fraudulent activity
• At our discretion with 30 days' notice where possible

7.3 Effect of Termination

Upon termination, your right to access the Service ceases. We will provide a 30-day window to export Your Data, after which we may delete it unless required to retain it by law.

10.1 Governing Law

These Terms shall be governed exclusively by the laws of the Republic of Kenya.

10.2 Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiations. If unresolved, the dispute shall be referred to mediation under the Nairobi Centre for International Arbitration (NCIA) rules.

10.3 Jurisdiction

If mediation fails, the dispute shall be resolved exclusively by the courts of Kenya located in Nairobi.
